Terms and Conditions

These Terms & Conditions (“Terms”) form a binding agreement between you (“Customer”, “you”) and Sentra Cyber Ltd (“Sentra Cyber”, “we”, “us”, “our”) governing your organisation’s use of the Sentra Cyber software-as-a-service platform, including the web application, CMS, analytics dashboard, and Microsoft Teams bot (the “Service”).
By accessing or using the Service, you agree to be bound by these Terms.
1. Access to the Service
a) Right to Use
We grant you a non-exclusive, non-transferable right for your authorised users to access and use the Service for your organisation’s internal business purposes for the duration of your subscription or trial.
b) Authorised Users
- “Org Admins” may manage users, view dashboards, and access reports.
- “End Users” may receive briefings, watch videos, and answer follow-up questions via Teams. They may also watch on demand content of previous video briefings
- Content creation (videos, scheduling) is managed exclusively by Sentra Cyber’s internal Super Admin team unless otherwise agreed.
c) Restrictions
You must not:
- Copy, modify, or create derivative works of the Service
- Reverse engineer, decompile, or attempt to extract the underlying source code
- Use the Service to store or process any data you are not lawfully entitled to use
- Grant access to unauthorised third parties
2. Customer Responsibilities
a) Account Security
You are responsible for maintaining the confidentiality of login credentials and for all activity carried out under your organisation’s accounts.
b) Compliance
You must ensure that your use of the Service complies with applicable laws, internal organisational policies, and these Terms.
3. Data Use, Privacy & Security
a) Data Roles
Sentra Cyber acts as an independent data controller for personal data processed as part of providing the Service.
b) Personal Data Processed
This may include:
- Name, email address, Microsoft Teams user ID
- Engagement metrics and behavioural signals
- Technical and usage logs
c) Purpose of Processing
Data is used to operate and deliver the Service, including:
- Sending or scheduling briefings
- Tracking engagement
- Generating analytics and insights
- Maintaining platform security and performance
d) Security Measures
We implement appropriate technical and organisational measures, including HTTPS, per-organisation data isolation, signed URLs, JWT authentication, and platform logging/monitoring.
e) Retention
- Trial data: retained up to 90 days
- Active customer data: retained for the duration of the contract plus 90 days
- Logs and anonymised analytics: retained as required for business and security purposes
- Anonymised data: indefinitely

4. Content & Intellectual Property
a) IP Ownership
All intellectual property in the Service, platform, analytics, content, and underlying software remains the property of Sentra Cyber Ltd.
b) Customer Content
Where you upload or provide content (e.g., messages), you retain ownership and grant Sentra Cyber a limited licence to store, process, and display such content as required to deliver the Service.
c) Restrictions
You may not copy, redistribute, or publicly display any Service content except within your organisation and within the intended functionality of the Service.
5. Service Availability & Support
a) Availability
We aim to maintain reliable access to the Service but do not guarantee uninterrupted uptime.

c) Suspension
We may suspend or restrict access where necessary due to:
- Misuse
- Security concerns
- Breach of these Terms
- Non-payment
6. Trials, Subscriptions & Payment
a) Trials
Trials are governed by a separate Agreement.
b) Subscription Terms
Paid access is subject to your subscription plan, invoice, proposal, or other agreed Order.
c) Payment
Payment must be made in accordance with the Agreement.
Non-payment may result in suspension or termination.
d) Renewals
Unless otherwise stated, subscriptions renew automatically for the same period.
7. Disclaimers & Limitation of Liability
a) Disclaimers
The Service is provided “as is” and “as available.”
We exclude all implied warranties to the maximum extent permitted by law.
b) Limitation of Liability
To the fullest extent permitted by law, Sentra Cyber is not liable for:
- Indirect, incidental, or consequential damages
- Loss of profits or revenue
- Business interruption
- Loss or corruption of data
Our total aggregate liability in any 12-month period is limited to the amount you have paid to us in that period.
Nothing in these Terms limits liability for fraud or anything else that cannot be excluded under UK law.
8. Termination
a) By You
You may cease using the Service at any time. No refunds are provided for unused subscription periods.
b) By Sentra Cyber
We may terminate or suspend access if:
- You breach these Terms
- You misuse the Service
- Payment is overdue
- Continued use poses a security or compliance risk
c) Effect of Termination
Upon termination:
- Access to the Service is revoked
- Trial or temporary data may be deleted
- No further obligations continue except those that should reasonably survive termination (e.g., confidentiality)
9. Governing Law
These Terms are governed by the laws of England & Wales.
Any disputes will be resolved exclusively in the courts of England & Wales.
10. Changes to These Terms
We may update these Terms from time to time.
Material changes will be communicated where feasible.
Continued use of the Service constitutes acceptance of updated Terms.
